Signing of Documents for incorporation of a company

03 December 2010 I propose to register a company in which 75% of the shares are taken by an Italian co and the balance 25% by an Indian residing in Italy. The Italian company will be authorizing its chairman to sign the document for and behalf of the Italian Company. The documents will be signed at Italy. What are the formalities to be complied in this regard for registration of the company with ROC.
Who can witness the documents. Whether it is to be attested by the Indian Embassy at Italy? Is it necessary that the Chairman should produce some letter of authority or any thing like that for signing the documents. Learned members views are solicited.

You will require the following documents duly notarised and *authenticated by the Indian Embassy/Consulate,( In case the country which is party to Hague Apostille Convention, 1961, all the Foreign documents shall be duly notarized and be apostillised in the country of their origin in accordance with Hague Convention.)

a) Memorandum and Article of Foreign Company
b) Board Resolution to Invest in Indian Company and Authorising chairman to sign the subsriber sheet.

The Subscriber Sheet signed should be Notarised/Apostillised in the foreing company
