Signing balance sheet by Company Secreatry

15 July 2010 Facts:

One Company was required to appoint the Company Secreatry (CS) for the year ended 31 March 2010 u/s 383 of the Companies Act. But the Company appointed the CS in May 2010. Whether the newly appointed CS can sign the balance sheet for the March 2010. And if not whether the incomplinace for not appointing CS will come as a disclosure in notes to accounts ?

15 July 2010 If Balance sheet is adopted in a board meeting after the appointment of CS then CS is eligible to sign the BS even if BS pertains to the period ended on march 31, 2010.

Thank you for your reply. But the non compliance of sec.383 will come for 31 March 2010 in notes to accounts ?


15 July 2010 Non compliance of 383A is not required to be put in Notes to Accounts.
