One Company was required to appoint the Company Secreatry (CS) for the year ended 31 March 2010 u/s 383 of the Companies Act. But the Company appointed the CS in May 2010. Whether the newly appointed CS can sign the balance sheet for the March 2010. And if not whether the incomplinace for not appointing CS will come as a disclosure in notes to accounts ?

If Balance sheet is adopted in a board meeting after the appointment of CS then CS is eligible to sign the BS even if BS pertains to the period ended on march 31, 2010.
