My company is a private company, and wants to shift its registered office within one district to another but under the jurisdiction of the same ROC. is there any need to pass a special resolution for members approval?

Yes, you need to get special resolution as shifting from one district to another will result into shifting of office outside the existing local limits of district.
If it do not result to shifting of off outside local limit than only Board resolution need to be passed.
