Section 560 (Defunt company) companies act, 1956

05 August 2008 Sir,
I am a student of CA & CS i wish to know that in case of a defunt company, can a single director by board of directors resolution can dissolve the company under section 560.

05 August 2008 The decision to get the name struck off from the register of ROC under section 560 can not be taken by a single director himself.

But sir what will be the implications if we proceed with one director.
Also the matter is if that is authorised by the board of directors to do so, then also we cann't proceed


07 August 2008 In case the company is left with one director then also the company will have to appoint another director to form the quorum and then proceed further.
