Section 187 of the Companies Act, 1956 allows a Body Corporate to mark its presence at the General Meetings of a Company of which it is a member by nomination a person its Authorised Representative.
I will elaborate this with the help of an example.....
Say A Ltd. is a member of ABC Ltd. The AGM of ABC Ltd. is scheduled to be held on 30.06.2010. Now, a Company being an artifical person cant be present at the AGM of the Company. Hence, Section 187 ofthe Companies Act, allows it appoint a person by a Board Resolution as its Authorised Representative to remain present at the AGM of ABC Ltd. and it shall be deemed presence of A Ltd. The person so appointed shall have all the rights and powers as available to other members of ABC Ltd.
