Anyone pls explain in detail clause c of Sec.149(1) of Companies Act

A company having a share capital has issued a prospectus inviting the public to subscribe for its shares can commence any business or exercise if nothing is liable to be repaid to applicants for any shares or debentures on account of failure to apply for listing of shares.
