Respected Sir, I need to know that Whether there is any need for ordinary resolution or special resolution which is to be passed for allotment of the shares? As shares are Within our authorized limit. It is a private limited company.
The provision of section 81 is not applicable on private limited company. So you are free to pass Board Resolution/ordinary resolution for allotment of shares.
Please also check what your company articles says on further issue of shares.

Kindly appreciate ordinary or special resolution are passed by shareholders in general meeting. For allotment of shares a board resolution is required to be passed by both public or private company. So in your case simply pass a board resolution to allot shares and file form-2 with ROC within 30 days of passing resolution in the board meeting.
