08 November 2009 WHAT WILL BE THE PROCEDURE FOR RESIGNATION OF A DIRECTOR FROM ANY PVT.LTD. CO. WHERE THERE IS ONLY TWO DIRECTORS.

08 November 2009 A director cannot be resigned from a Pvt Company, unless there are atleast two Directors in a Pvt Company.

In your case when there are only two Directors only then in that case, a new Director shall be introduced first then the Director who needs to be resigned can be done vide FORM 32.

First appoint 3rd director and file form 32 for appointment.

After approval of form 32 for appointment at ROC site file second form 32 for resignation of director.
