Resignation of director

04 April 2012 Sir,

I want to know the liability of the Director, who is resigning from a pvt Ltd Company by Voilating the provisions of Section 252 of the Companies Act, 1956. Can he do so? if, no what are the legal provisions? If he still resigns by giving resignation letter to the other director, what are the steps to be suggested for the other Director.

will he be as deemed to be the director of the company under section 254 Companies Act, 1956?

Kindly provide the applicable provisions.

If a director of a company is less than quorum means less than 2 then remaining director appoint director to comply the quorum or call a general meeting and not for other purpose in accordance with Reg 75 of Table A of Schedule I of Companies Act, 1956.

07 April 2012 I director cannot skip from his misdeeds during his directorship and run away with the liability during his period. Even if he resigns he is liable for all misdeeds.
