1. For appointment of Addnal Dir. u need a pass a Board Resolution (BR) for his appointment and then file form 32 to ROC within 30 days of the same. 2. To change the Reg. office within local limits just pass a BR for it and file Form 18 within 30 days of passing the resolution. 3. For increase of Auth. cap. U need pass an Ordinary Resolution in General Meeting if Articles of the company permit for increase of capital of the company and then file form 5 to ROC within 30 days of passing OR. if Articles dont permit then Articles need to be amended by passing Special Resolution in General Meeting. n d further procedure is same.
