Registered office change related

26 September 2012 Dear SIR
We want to change our Registered office within the state without changing the ROC.
Hence Is Special resolution required for that? shall the forms 17 needs to be filed with ROC or only intimation?

27 September 2012 Dear Aplesh,

If you want to shift your registered office within the same city then you need only Board Resolution.

If you are shifting within the same state but between two different cities then you need to pass the resolution in the General Meeting as well by SR.

And for shifting of registered office you need to file Form 18 and not 17. But at the later case you will file both Form 18 and 23.
