Hi all, Where notices, draft resolutions and agenda for board meetings are hand delivered, what would constitute as proof of sending the these documents?

OK. But what if the director is unable to sign, like for instance, too sick and hospitalised ? Or they are travelling? Can a relative sign on their behalf? Regards, Geetha
It is sufficient that Notice, Agenda and other relevant papers are sent to the postal address registered by the Directors with the company or in the absence of such details or any change thereto, any of such addresses appearing in the (DIN) registration of the Director.
Proof of sending Notice and its delivery shall be maintained by the company for at least 3 years from the date of the Meeting
