14 February 2014 guys plz help me... my query is one of company wants to issue shares to person who making investment in that company and co. issue shares against investment. so there is any agreement required to be made between co. and investor?? if yes plz provide..

14 February 2014 Other than Recording it in the minutes of the Board Meeting and relevant filling with RoC nothing is mandatory.

However, it is preferable to have a shareholders' agreement with the promoters to outline the role of each and the rights and duties of each of the parties so that there is no problem later on. Specifically include a part which mentions if the investor can appoint director/s, and if so how many.
