27 January 2012 Could anyone plz tell me whether the name and object of the private limited company can be changed simultaneously?
If not then which of them i.e. name or object to be changed first?

27 January 2012 Check whether the name of the company reflect the main object. if not then change the name first & then change the object.

27 January 2012 If you are changing name of company to reflect the object which u are thinking to add, the better would be to change the object clause First and then change the Name.

27 January 2012 Both name and object clause of the company can be changed simultaneously by passing special resolution in same GM. Pass one form 23 for registration of SR.

28 January 2012 Agree with Expert.

After some research, reached to the some conclusion...

Process would be as follows:

-Conduct Board Meeting and approve Name.

- File Form 1A for approval of Name approved by Board (Mention in 1A as change of Name requires Change in Object Clause and Mention altered Object there)

- Once name has been approved by ROC, Dispatch Notice of EGM along with Explanatory statement.

- Pass Special Resolutions for Both (Name Change in AOA and MOA both And Object Clause Change)

- File single E-Form 23 for all the Special Resolutions with following attachments

A. Resolutions with Explanatory Statement

B. Altered MOA and AOA (As AOA also contain the Name of Company)

- File E-Form 1B for approval of CG.

- MAke necessary alteration in Letter heads , Common Seal or anyother place where company's name is appearing.
