What is the Procedure for appointment of mangaing director or whole time director in the private company? Can a person other than person who is director in company be appointed as managing director?

Follow the regulations in your company's AOA. If there are no regulation in AOA just appoint by a Board resolution. For appointing a person as MD he has to be first appointed a director.
