The provisions of managerial remuneration is not applicable to private limited company.
In case of public company or subsidiary private company the provisions of managerial remuneration will be applicable. Section 198, and 309 will apply to public company and subsidiary private company.
In you are paying remuneration in excess of the limit specified in above sections, in that case you comply the provision of Schedule XIII of the Companies Act, 1956 and take additional CG approval along with shareholders approval.
