There are specific provisions regarding the keeping of books of accounts & register of members at a place other than at the registered place of the company under Section 209 & 154 respectively of the Companies Act,1956, My question is- Can a Company keep its minutes book at a place other than the registered office of the Company? Please reply as soon as possible.
As per section 196(1)(a) you have to maintain minutes of general meeting at the registered office of the company. This section is mandatory in nature.
For the minutes of board meeting law is silent.
As per my suggestion you can maintain your board meeting minutes at a place other then registered office. Reason being board minutes can not be inspected by members other than director and auditors.
