In our comapny we have appointed managing director, chairman, executive director for 2 years only and after 2 two years we reappointed the same persons in the same designations. In form 32 only provision for intimating appointment, cessation & change in designation only.Whether we are required to intimate ROC regarding the retirement of directors & reappointment of the same persons in the same designations ? please advise me?

No….there is no need to file form 32 in your case bcoz re-appointment on the same terms and conditions and post does not amount to change in designation.

No need to file any form with ROC. But your internal records like Minutes, register of directors etc. should be updated regarding re-appointment etc.

As per my view, E-Form 25B to be filed for amendment in provision of appointment or reappointment of MD, WTD and Non Rotational Director of Public company or Pvt Company which is subsidiary of public company!!!!
So if there is any change in Provision of appointment of above Director, File 25B.
