I work for a software company based in Bangalore with current authorised capital of 10 Lacs, we want to increase it to 1 Crore. Please advise in detail the procedure, formalities, documents, cost factor and approx time duration. Appreciate your valuable inputs.

1) Ordinary resolution authorizing the increase in authorized share capital should be passed in the General Meeting. 2) e-form 23 along with explanatory statement should be filed with in 30 days from the date of passing the resolution. 3) e-form 5 has to be filed along with altered MOA and AOA.

1.Notice for calling Extra Ordidnary General Meeting for considering Ordinary Resolution for Increase in Authorised capital with explanatory Statment. 2. Passing of Ordinary Resolution in Extra Ordinary General meeting. 3. e-form 23 along with explanatory statement should be filed with in 30 days from the date of passing the resolution with Notice, Ordinary Resolution, Altered MOA & Altered AOA. 4) -form 5 has to be filed along with the Notice, Ordinary Resolution, altered MOA and AOA ( Normal fee and Stamp duty fee will be deposited with Form 5). Total Time duration will 7 to 10 days for all work. It depends on fees deposited online or by cheque. If cheque 3 days extra for it.
