Resolution passed by circulation by members is also called as resolution passed by postal ballot.
Section 192A of the Companies Act, 1956 provides that a listed public company may in the case of resolutions relating to such business as the Central Government may by notification declared, to be passed only by postal ballot instead of transacting the business in general meeting.
Therefore, section 192A of the Companies Act, is not applicable to a private company or an unlisted public company.
