is it necessary that directors hold meeting before the date of AGM for approving the bs and signing the directors report. can this be done on the date of agm before presenting it to the shareholders.i.e are dt of approving a/cs by directors and dt. of agm the same.

In case of Private Company, YES it can be possible provided 1. Both Board as well AGM Meeting is held on same day and 2. All shareholders have given consent for holding AGM for shorter Notice.
Also the date of Auditors signing the report has to be same as that of Board signing the report as only after approval of Board it is submitted to Auditors for signing.
But in case of Public it is not possible unless all shareholder consent to hold AGM at shorter notice and consent to receive A/cs less than 21 days before the AGM date u/s 219 1(c)
