Directors retiring by rotation

06 November 2012 in a Private Company (subsidiary of public company) there are 4 Directors ( 2 Additional and 2 normal).

how many will be the Directors retiring by rotation?

Also, in in a Private Company (subsidiary of public company) there are 2 Directors both are First Directors not liable to retire as per AOA.

What will be the supposal in the given case.

08 November 2012 In each case 1 director shall retire by rotation.

In second case the constitution of the Board is not as per section 255. There must be atleast 3 directors whose office of director shall be decided on the basis of rotation.

but does private company which is subsidiary of public company has to appoint 3 directors ?

08 November 2012 Yes, whose term is to be determined on the basis of rotation. The board must contain atleast 2/3rd rotational director...
