Pvt. Ltd. company having net profit of Rs.88 lakhs.
My question is there any restriction for directors remuneration as per income tax and company law.

As per company law there is no restriction in a private company.
Strict provisions relating to managerial remuneration are not applicable to a private company. So you are free to give any remuneration to your director subject to the provisions of articles.
