13 September 2012 Yes, AGM would be present after the completion of audit and receipt of audit report.In otherwords audit report should be complete before the AGM because in the AGM audit report should be present.

13 September 2012 No, it is not legally valid. Pls read section 219 of companies Act, 1956.
The Audit Report should be sent to the shareholders not less than 21 days before the AGM.
