MY PVT. LTD. COMPANY IS INCORPORATED ON 16-08-2009. I WANT TO APPOINT AN AUDITOR. ON WHAT TIME I CAN APPOINT THE AUDITOR. IS THERE ANY NEED TO PASS THE RESOLUTION. WE ARE TWO DIRECTOR AND THERE IS NO ANY SHAREHOLDER
You appoint first auditor within one month from the date of incorporation in Board Meeting. The date of Board Meeting will taken in to account for appointment of first auditor.
No need to go shareholder approval for first auditor.
“RESOLVED THAT pursuant to the provision of section 224 of the Companies Act, 1956, M/s A Jain & Associates, Chartered Accountants of Meerut from whom certificate pursuant to section 224(1B) of the Companies Act has been received, be and are hereby appointed as the first auditors of the company to hold office until the conclusion of the first annual general meeting of the company at a remuneration to be determined by the Board of directors of the company.
RESOLVED FURTHER that Mr. X, Director of the company be and is hereby directed to give intimation of this appointment to the Auditors so appointed.”

The first auditor or auditors of a company shall be appointed by the Board of directors within one month of the date of registration of the company; and the auditor or auditors so appointed shall hold offices until the conclusion of the first annual general meeting.
BOARD RESOLUTION FOR THAT
CERTIFIED TRUE COPY OF THE RESOLUTION PASSED AT THE MEETING OF THE BOARD OF DIRECTORS OF (NAME OF THE COMPANY) HELD AT THE REGISTERED OFFICE OF THE COMPANY AT (ADDRESS) ON (DATE) AT (TIME)
The Chairman informed the Board that pursuant to Section 224(5) of the Companies Act, 1956, the company is required to appoint Statutory Auditors of the Company. He proposed that [Name of the Auditors], Chartered Accountants, having its office at [Address of the office of auditors] may be appointed as first Auditors of the company. The Company has received a consent letter from [Name of the Auditors], Chartered Accountants, to act as Statutory Auditors of the Company and a certificate to the effect that their appointment as an Statutory Auditors, if made would be in accordance with the limit specified in Section 224(IB) of the Companies Act, 1956.
The Board noted the same and after discussion, passed the following resolution unanimously:
“RESOLVED THAT pursuant to section 224(5) of the Companies Act, 1956 [Name of the Auditors], Chartered Accountants, having its office at [Address of the office of auditors] be and are hereby appointed as first auditors of the company to hold the office until the conclusion of the first Annual General Meeting".
“RESOLVED FURTHER THAT [Name of the person(s) authorized] be and is hereby authorized to intimate the Auditors of their Appointment.”
