Conversion of private limited co. into a llp

31 May 2013 Dear All,

I have converted a private limited company into a LLP, the date of conversion of which is 8th April, 2013.

Now, I have a query that when should I conduct AGM for approval of final accounts of Private Lim. Co. as the same is required to be filed as on 31.03.2013.

03 June 2013 Since the Company has been converted into LLP, you dont need to conduct AGM for 31.03.2013 as after 8th April, 2013, the Company is itself not into existence & hence, AGM cannot be conducted as such.

Also, Accounts for 31.03.2013 are not reauired to be filed with ROC for the Company. In fact, the sysytem will not permit you to file ay forms regarding the Company except E-Form 14 for intimating to Registrar of Companies of conversion of the company into limited liability partnership (LLP).

13 June 2013 Ok then in that case no AGM needs to be conducted. But then will there be same treatment under Income Tax Act for filing of ITR.
