Confusion on conversion of pvt ltd company in to llp.

is pvt ltd company is required to file annual account form (aoc 4) and annual return form (mgt 7) with roc, for the financial year, in which pvt ltd company is converted in limited liability partnership (LLP).

is pvt ltd company is required to hold AGM for the financial year in which pvt ltd company is converted in limited liability partnership (LLP).

qus 1. what to in above matter if XYZ PVT Ltd Converted in XYZ LLP dt. 26/01/2016.

---> is XYZ PVT LTD required to file Annual account and annual return for FY 2015-16 with roc ?
---> is XYZ PVT LTD required to hold AGM for FY 2015-16 ?
---> is XYZ PVt LTD required to gate its account audited for FY 2015-16 ?

1. Your Company got converted into LLP on 26/01/2016 so Date of AGM can be maximum upto 30.09.2015. Answer of Your First Question yes you was required to hold AGM

2. As per Law Company have to hold AGM with in 6 Month from the end of Financial Year So Company was also required to Approved the financial statement in AGM. Answer of Your Second Query yes you required to get them audited.

3. You are asking this query too late. You have to ask the same before conversion, because as per Law you was required to filed AOC-4 and MGT-7 upto 30.12.2015 you dint filed the same and now your company is converted into LLP so now you cant file the form. This is default on part of the Comapny.

27 January 2016 xyz pvt ltd has already file aoc 4 and mgt7 for the fy 2014-15. dated on 30/11/2015...
now xyz pvt ltd is converted in xyz llp dated on 26/01/2016....
now
1. is xyz pvt ltd is required to hold agm for fy 2015-16.
2. is xyz pvt ltd is required to filed aoc 4 and mgt 7 for the fy 2015-16
3. is xyz pvt ltd is required to get its books audited for ay 2015-16.
