common seal and share certificate

01 December 2009 Dear members,

1) Sec 147(b) of the Cos. Act mandates that every co. shall have its name engraven in legible characters on its seal-

Is it enough if the co. engraves it on a rubber stamp as it has not been specifically mentioned in the act that it should be engraved on metal?

2) Should the share certificates be printed mandatorily or computer designed printouts be used?

01 December 2009 Hi,

Every document and seal should be updated with correct name of the company. It does not make any diff whether it is steel or rubber stamp.

You may use computer designed printouts but all the legal compliances regarding share certificate must be complied with.

01 December 2009 agree with suggestion but practically name of the company for common seal should be engrave on steal as it works itself as a signature of the company.
