Commencing of new business stated in other objects

16 June 2012 Dear Sir/Madam

Pursuant to the provisions of Section 149 (2A) of the Comapnies Act, 1956 a Private Limited Company does not need to pass a Special Resolution to Commence New Business stated in "Other Objects" of a Company.

Kindly note that we altered the Other Objects of the Company by inserting a new Object of Fashion Designing whereas the Main Object the Company is of Infrastructure. So, can the COmpany move ahead by Commencing the New Business without obtaining any approval fron ROC??

Also note that we have received approval from ROC regarding alteration of Other Objects of the COmpany.

16 June 2012 There is no need to take further approval of ROC, you have already passed special resolution in the meeting of shareholders.
