You are requested to clarify the compliances and ROC formality for Changes in designation from Whole time Director to Additional Director.
04 March 2011
Additional director is a director appointed by the Board under section 260 of the Companies Act 1956 who shall hold office only upto the date of the next annual general meeting of the company.
Once his appointment is regularlised in the EGM or AGM he becomes a regular director.
In my opinion such Whole Time Director cannot again be appointed as an Additional Director unless the WTD has retired or resigned and cease to be the WTD of the Company. After his exit his appointment will be considered as fresh one and he will be appointed as additional director by the Board which again needs regularisation at EGM or AGM.
Form 32 also needs to be filed as and when the exit and new appointment takes place.
