Change of registered office of pvt. ltd. within the state

10 February 2009 Please tell me the procedure to change the registred office of private limited company within the state. And please let me know one thing that if we have already file such application in 1997 and no effect is given to that how I track such earlier submission.

10 February 2009 If you have given such letter in the prescribed format then, trace it and that is good enough.

If not file eForm 18 alongwith a copy of resolution stating the change of address of Registered Office with what effect.

Mind you, ROC fee will depend on the date of resolution and date on which you want to state as date of transfer.

10 February 2009 Board resolution in case the company’s registered office is shifted within the local
limits of the city or town or village in which it was earlier situated through Form 18
Special resolution in case the company’s registered office is shifted outside the local limits of the city or town or village in which it was earlier situated through Form 18
If office is shifted to a jurisdiction outside the jurisdiction of the existing ROC then RD approval through Form 1AD

It would be difficult to trace an application of 1997, and if the MCA is not showing any pending application,.. then it is advisable to file it afresh.

A resolution which is backdated about 1997, and no effect is given to it yet is most likely to be stale. Hence new resolution should be passed.
