Change of registered office after filed form 1a wirh roc

23 July 2012 Hello All Experts,

I would like to humbly request to all of you.

Please suggest me how can i change registered office after filed form 1A with ROC.

Actually i have filed form 1A for the name available for newly incorporation purpose and status is presently work in progress. My client want to registered office at Rajasthan but we have filed in form 1A Maharashtra. Now how we can change Maharashtra to Rajasthan in form 1A before approve by ROC.Bcoz after approval,form 1A valid for 60 days and we cant wait for lapse 60days.
Its very crucial problem plz help me.

23 July 2012 Dear Mukesh,

Please file the following forms to give effect to such change. These forms are:
1) Form 23
2) File petition with CLB and intimate ROC in Form 61
3) Form 21 (Notice of the court or the company law board order)
4) Form 18 ( Notice of situation or change of situation of registered office)
If there is a change of registered office of the company within the state from the jurisdiction of one Registrar to the jurisdiction of another Registrar, Form 23, Form 1AD and Form 18 is required to file in this case.

No need to follow the above procedure, because it will apply only registered company. It will not apply to a proposed company of which Form-1A is pending.

I will suggest you to file a new Form-1A with NOC that the already filed proposed company has no objection from using this name and wrongly giving the state name.
