1. Where to pay filing fee for Form 18? 2. Is it sufficient filing Form 18 for changing address or Co will receive any letter from ROC 3. Do Co have to change its MOA & AOA for address clause 4. OTher registration like PAN TAN will also have to change?

For changing the Registered Office of the company or for effecting any change of Directors you should furnish following papers/documents alongwith your application:
1. Copy of resolution of Board of Directors regarding change of Registered Office/change of Director. 2. Form No. 18 regarding change of Registered Office. 3. Form NO.32 regarding change of Director. 4. Copy of Registrar of Companies Receipt. 5. Rent Receipt. 6. No objection certificate from Land-lord for use of premises. 7. Proof of ownership i.e. House Tax Receipt or copy of lease deed/sale deed etc. 8. Site plan of the new premises/regd. office. 9. Assent of all the unpaid prized subscribers, non prized subscribers regarding change of Registered Office/acceptance of resignation of Director. 10. Affidavit of the newly appointed Director/Directors regarding :
(1) age, good health, sound mind, (2) insolvency, (3) non-conviction, (4) membership/Director in any other Chit Fund Company.
11. Copy of form No. 2 regarding share allotment with R.O.C. Receipt. 12. Photographs of the existing Directors/New Directors duly attested by C.A. of the company. 13. Photocopy of the ration card of the New Director(s) duly attested by C.A. of the company. 14. Issue/Transfer of shares from old to new Director(s). 15. Papers regarding financial soundness of the new Director(s) with his/her/their statement of Affairs clarifying, business in which he/she/they is/are interested and owners of property, if any, with supporting documents. 16. Proof of informing the subscribers regarding change of Registered Office/change of Director.

17A. Change of registered office within a State.
1[17A. Change of registered office within a State.—
(1) No company shall change the place of its registered office from one place to another within a State unless such change is confirmed by the Regional Director.
(2) The company shall make an application in the prescribed form to the Regional Director for confirmation under sub-section (1).
(3) The confirmation referred to in sub-section (1), shall be communicated to the company within four weeks from the date of receipt of application for such change.
Explanation.—For the purpose of this section, it is hereby declared that the provisions of this section shall apply only to the companies which change the registered office from the jurisdiction of one Registrar of Companies to the jurisdiction of another Registrar of Companies within the same State.
(4) The company shall file, with the Registrar a certified copy of the confirmation by the Regional Director for change of its registered office under this section, within two months from the date of confirmation, together with a printed copy of the memorandum as altered and the Registrar shall register the same and certify the registration under his hand within one month from the date of filing of such document.
(5) The certificate shall be conclusive evidence that all the requirements of this Act with respect to the alteration and confirmation have been complied with and henceforth the memorandum as altered shall be the memorandum of the company.]
