Can anyone provide me sample of board resolution for issue of shares pursuant to merger?

“RESOLVED THAT pursuant to the provisions of sections 391 to 394 and other applicable provisions, if any, of the companies act, 1956 and sub-clause (32) of clause III of the object clause of the memorandum of association of the company and subject to requisite approval of the members and creditors to the company, X Private Limited will be amalgamated with Y Private Limitedâ€
The company pass board resolution approving the merger & not the SWAP ratio.
