Appointment of director is SEPCIAL BUSINESS...so explantory sttement is needed ? can two directors be appointed through one Resolution in AGM ?

As per Section 102(2)(a) the appointment of directors in place of those retiring is ordinary business. But in case of fresh appointments these are considered as special business. And an explanatory statement will be required.
As per Section 162 of the Companies Act, 2013, At general meeting of a company, a motion for the appointment of two or more persons as directors of the company by a single resolution shall not be moved unless a proposal to move such a motion has first been agreed to at the meeting without any vote being cast against it. Thus at first a motion shall be moved to consider appointment of two or more director by single resolution which shall be confirmed by the members without any member dissenting to it.
