In an Indian private Ltd company, what are the rights of a shareholder in appointment of Director?

Under section 260 board of directors may appoint a person as additional director of the company. Such additional director has to be regularized in the general meeting of shareholders.
So board can appoint a person as director but ultimate key is with the shareholders.
