03 January 2014 How is to appoint CFO of a private Co. ? Is there any resolution required to be passed ?

04 January 2014 For appointment of CFO or CEO board resolution is not required at all. This is the work of HR.

However you may do one thing. After appointment of CFO, you may take note of his appointment in the board meeting held after the appointment.

For appointment no resolution is required.
