Sh-4 - private company - share transfer

04 August 2014 Should SH-4 i.e., share transfer form need be uploaded at mca website ? The basic question is - should MCA be updated about the transfer of shares that keep happening in private company?


04 August 2014 SH-4 not required to be uploaded at MCA. No intimation is required to be given to MCA upon transfer of share. Information of all transfer will be given in Annual Return.

I believe Annaul return is to be filed in Form 20B. I downloaded this form from MCA website today. I noticed that the form is NOT askinng for EACH transfer details

Request you to please clarify this.

05 August 2014 Dear Details of each transfer has to be mentioned. This requirement was there under Companies Act 1956 and it is still there in Companies Act 2013. In Companies Act 2013 new Annual Return form No 7.7 only some more disclosures has been added. It is filed as attachment to form 20B.

Thank you for clarifyiing my doubts.

1) At the end of Form 20B in attachment section - there is provision for attaching - Annual Return as per schedule of the companies act 1956. Please confirm this is the place where form 7.7 is to be attached.

2)Any idea why form 7.7 is not available for download from mca website

3)Section 92 says - An extract of the annual return in such form as may be prescribed shall form part of the Board’s report. Is a format prescribed for this extract?


05 August 2014 Anil 7.7 is not applicable for Annual Return of Financial Year 2013-14. So return is to be filed as per Companies Act 2013.

Form 7.7 was under Draft Rules. In final rules it is MGT-7. Please see circular regarding non applicability of MGT-7 for Financial Year 2013-14 from below link--

05 August 2014 Sorry for Providing you the old Draft form 7.7. MGT-7 may be seen from link given below but it will be applicable from FY 2014-15 onwards.

To summarize can we say

MGT-7 is applicable from FY 2014-15 and

Form 7.7 is applicable for FY 2013-14

06 August 2014 Dear form 7.7 is not applicable for FY 2013-14. It was just a draft Form for Companies Act 2013 which is now MGT-7.

For FY 2013-14 old format of Companies Act 1956 will apply. If you want the old format give me your email ID I will mail you the same.
