When a private limited company files Form 18 to notify the Registrar of Companies (ROC) about a change in its registered office address, here’s what happens regarding the Incorporation Certificate (COI):
1. Is a new Incorporation Certificate issued after change of registered office? No, the original Certificate of Incorporation (COI) remains the same and is not reissued.
The COI mentions the original registered office address at the time of incorporation only.
2. What document reflects the new registered office address? After ROC processes Form 18, the change of registered office is updated in the company’s records maintained by ROC.
The latest registered office address can be checked on the MCA21 portal by viewing the company’s Master Data (using the company’s CIN).
You will get an updated ‘e-Form Active Company Master Data’ report which shows the new registered office address.
3. Can you get a certificate for new registered office? ROC does not issue a new Certificate of Incorporation for a change in address.
However, ROC provides a ‘Certificate of Change of Registered Office’ or an updated certified copy of the registration details upon request (through forms like INC-22 and/or a separate application).
This certificate confirms the new registered office but is different from the original COI.
