we incorporated a Pvt Ltd company, for which their are 2 directors one of them is a foreigner and its a 99.9% subsidiary of a foreign holding company.
My query is for the purpose of Inc-21 Commensement of Business 1.to conduct the 1st Board meeting, can it be done by one director present in india. 2.is thier any procedure where by its is conducted even though the other director is not present in india.

as per new companies act one director must be indian resident ... further it is possible to convey meeting, you can convey it through video conferencing too. there is no specific procedure is needed.
