15 August 2010 Is it necessary to have atleast a month gap between date of signing the balance sheet by director and date of AGM?

Should annual return be filled on or before the AGM date?

15 August 2010 First the BS and Audit Report are to be adopted in the Borad Meeting along with Notice to shareholders for AGM for at least 21 days.

SO there should be gap of more than 21 days obviously.

Annual return should not be filed unless the accounts are approved by the AGM.

16 August 2010 Can auditor sign the balance sheet in morning and during day(ie on same day) AGM is held.


16 August 2010 In case if auditor signs the Balance sheet in Morning & AGM is held in evening than u need to get approval of all the memebers as per Section 20 & 219 for shorter notice of AGM & Balance sheet

16 August 2010 If you do not want to maintain a gap of 21 days between signing of BS and AGM then you have to follow the procedure of shorter notice consent.
