As a shareholder director of a (closely held) Limited company holding 45% of the shares can I insist that the venue for board meeting should be the registered address of the company only and an outside venue is not acceptable ?

I cannot find the answer to my query. Can you pls reply to the point directly > 1. Can I as a 45% shareholder insist that the ACM be held in Regd Office Address only ? 2. Can I as a Director insist that all Board Meetings be held in the Regd Office Address only ? Thanks in advance.

Query 1 :- No. Query 2 :- Yes. Relevant extract (............in consultation with the Chairman or in his absence, the Managing Director or in his absence, the Whole-time Director, where there is any, unless otherwise provided in the Articles. 1.1.2 The Chairman may, unless dissented to or objected by the majority of Directors present at a Meeting at which a Quorum is present, adjourn the Meeting for any reason, at any stage of the Meeting)
