Is it necessary to file form MGT 14 under section 179 (3) of The Companies Act 2013 with the ROC for appointing a person at place of profit at a monthly remuneration not exceeding Rs. 2.5 lacs.

yes, some resolution are mandatory needs to file and this section is covered. you have to file it within 30 days of passing so as to avoid additional fees

My question here is that is the board resolution u/s 188 of Companies Act 2013 required to be filed with the ROC in form MGT 14 for appointing relative at place of profit for Rs. 2.5 lacs per month. I have not seen any reference of such filing in the rules nor in the Act.
Form MGT 14 is required to be filed for special resolution passed under proviso to Section 188(1) of the Act.

yes i am getting you my dear frd. See Section 184 (disclosure of interest) and Section 179(3) are the board resolutions and mgt-14 is filed under both the situation. rest you can take others opinion. it is your wish
