Is a newly incorporated private limited company required to inform Roc by submitting DIN 3 about its director who were involved in incorporation of the company.

Every company has to inform to ROC about its directors by submitting DIN3 so first of all your Directors have to apply for DIN in DIN1 Form and after getting DIN, your directors will inform the company regarding their DIN in Form DIN2 which will be attached with DIN 3 by the company at the time of e filing of DIN3.

I had applied for DIN and the same got approved on 30 april and my company got registered on 15 july. Now as per clause director should inform the company within 30 from the date of approval and the company should inform roc withing 7 days. what will be the due date in this case and what are the consequances if it is not followed.

Pl read the following. ATTN. Ms. VANDANA Filing of DIN-3 would be a mandatory requirement in respect of Companies incorporated till June 30, 2007. There will be no requirement for filing Form DIN-3 in respect of Companies incorporated from July 01, 2007 onwards as the requisite details would be captured through Form DIN-1 and Form-32.

Thanks sir, but some directors are rotated or removed and the same are replaced with new directors, is it mandatory to inform the roc about their removal and appointment?. if yes then what form should be filed.

Thanks a lot sir for this information, but tell me one thing if we convert any firm in private limited company then how we will proceed regarding these matter??

Every company incorporated before 1st July 2007 has to file DIN 3. However Company incorporated later is not required to file DIN 3 but it has to intimate about appointment & any change therein in Form 32 within 30 days from the dt of appoinment or change.
Hence even if any company is formed by conversion than too now company has to file Form32 only & not DIN3
