20 January 2011 I) In a pvt ltd company the managing director is the promoter.
must he give qualification,disqualification and the consent to act as directors format?

plz provide format for the same if so.

II) in Form 1 - The MCA PEOPLE TOLD APART FROM e-sTAMP must buy stamp paper for power of attorney for Rs. 20 and same be entered. plz provide format of the same and what power of attorney is it?

III) Filing of Form sequence is
1) Form 1
2) Form 18 & Form 32 (Any order)

is this above right?

20 January 2011 Hi...

As per the definition provided under section 2(26) of the Companies Act, 1956 only an Director of the Company can be appointed as Managing Director.

Thus a person first has to be appointed as Director and only then he can be appointed as Managing Director. Provisions of section 264 are not applicable to an independent Private Company, so the Director is not required to give his consent to act as such.

Second part, Power of attorney is for authorising the CA / CS / authorised representative to carry out any changes / corrections as suggested by ROC in MOA / AOA / other forms and to do all such acts and deeds as may be necessary in connection incorporation of M/s...........(Name of the new company) and filing necessary e-forms with ROC. You have to execute this POA on Rs.20/- stamp paper.

Third Part, the sequence is right.
