1)i have to change the registered office of a Pvt Ltd company within state. Pl tell me the form which i have to filed and also tell me that whether new incorporation certificate will be issued.
2)After changing Address i have to change the Place clause in memorandum, so tell me procedure for change in memorandum, whether stamp duty and registration fees will be attract once again like at the time of filing Form 1 for incorporation.

1. Call a Board meeting to change the registered office. 2. Approve resolution under section 146 of the Companies Act, 1956. 3. File Form-18 with ROC within 30 days of passing of such board resolution. 4. After approval from ROC, you can make alteration in your company’s document accordingly. 5. Make entry in minutes.
No need of new Certificate of Incorporation after change of registered office with in the city.
