Hi,
Just want to know is it compulsory to amend AOA to conduct BM in electronic mode?

You can easily conduct a BM without amending the AOA, there is no provision for such. u ca refer http://www.mca.gov.in/Ministry/pdf/Circular_27-2011_20may2011.pdf,for this.

The intent of the Circular is to simplify procedures and streamline processes. To create an additional burden of alteration of Articles is not the intent. If some provision is specifically provided in law, empowerment from Articles is not required for such purpose. But in case the Article prohibits holding of Board meeting through electronic
means, than it needs to be amended.
