If I am looking to increase the authorised share capital of a company, and I also want to issue shares at a premium to the investor who is coming into the company, does the authorised capital have to include such premium amount? How much will be my stamp duty and ROC Fees? Will the premium amount have to be included in the computation of such stamp duty and ROC fees? Thanks.

No premium amount will not be considered for the purpose of stamp duty or ROC fee. ROC fee may be calculated as prescribed in Schedule X of the Companies Act. The fee payable to ROC will be the difference of fee payable for the existing level of Authorised Cap and the old one alongwith Form 5.

Authorised Share Capital does not include Security Premium amount.And also such premium will not be considered for deciding ROC Fees. In case of increase of authorized share capital of the company, the fees will be, the difference between the fees payable on the increased authorized share capital and fees payable on the existing authorized share capital.
