06 May 2013 clarify my doubt date of incprporation of a pvt ltd company-25 jan 2012 books cloased on 31.03.2012 audit report dated 25.08.2012, when shall the AGM be held, co wants to appoint new auditors in place of existing (also the first auditors)form 23 b is to be filed within 30 days of the AGM. Can you please tell me the exact procedure and communtations to be sent to existing and new auditrs

Procedure to Appoint of Auditor and file Form 23B (Appointment of Auditor)

1. The Company will call a Board Meeting after resignation of auditor to accept resignation of old auditor, fill a casual vacancy by new auditor and call a general meeting.
2.The company will appoint new statutory auditor at general meeting
3.Send letter of appointment to auditor within seven days from the appointment.
4. The auditor give letter of acceptance as auditor to the company and send a copy of the same to the old auditor of his appointment.
5. The auditor also intimate ROC in Form 23B within 30 days from the date of acceptance of letter of appointment.
6. Form 23B can be download from www.mca.gov.in
7. Letter of appointment will be attached with Form 23b.
8. The SRN no will be generated with fee.

08 May 2013 when can the company hold its first AGM . if it is 18 months from the date of incorporation.
this co is incorpoarted on 25.01.2012
18 months shall be in the month of july or will it be 30.09.2012, for the FY 2012-2013. is it necessary to appoint auditors in AGM or can they be appointed in board meetings also.

Yes, the AGM can be hold in 18 months but you can not made Balance Sheet of more than 15 months. So, as and when you called AGM, you will appoint auditor for subsequent financial year.

10 May 2013 accountd for three months period audited i.e jan 12 to march 12, now co can call AGM on which date for appointment of auditors and by date to file form 23 B so that there is no late fee
