18 September 2012 One of my client wants to remove the previous auditor who has audited the books for FY 2010-11 for audit of FY 2011-12. Is it possible to change a statutory Auditor appointed in AGM of a company otherwise than by taking permission of Central Government.

18 September 2012 In very very EXCEPTIONAL cases like death, bankruptcy, cancellation of membership, insanity of PREVIOUS AUDITOR, this may be possible.

20 September 2012 For removal of auditors in the Annual General Meeting you need to send special notice and auditors can be changed.

In case you need to change auditors before the expiry of his term, i.e. before hte AGM you need to take the approval of Regional Director.

In case of the death of Auditors, the vacancy caused can be filled in the Board Meeting.

In case of resignation, the vacancy can only be filled in general meeting, however, in this case the approval of regional director would not required.
